Welcome to Philly Eats & Lofts. By accessing this website, booking any service, or engaging with our content, you agree to the following Terms and Conditions. Please read them carefully before proceeding.

1. About the Service

Philly Eats & Lofts is an independent review and content production service operated by David N. The service provides professional, sensory-based reviews and high-quality visual documentation of restaurants, bars, real estate properties, and other local businesses in the Philadelphia metropolitan area and beyond.

The service operates through three primary tiers: Priority Review Visit, Visual Impact Visit, and The Sensory Audit. Full descriptions and pricing are available on the Services page of this website.

2. Booking and Payment

2.1 Booking Process

All bookings are made through the integrated Wix Booking system on this website. By completing a booking, you agree to these Terms and the Operational Protocols displayed during the checkout process.

2.2 Payment

Payment is processed securely through Wix Payments. All fees are due at the time of booking unless otherwise agreed. The booking fee covers labor, travel, production time, and algorithmic exposure. It does not cover the cost of the meal, beverages, or gratuity at the venue.

2.3 Comp Policy

All food, drinks, and gratuity (tips) incurred during the visit must be comped by the venue. This is a non-negotiable condition of every service tier.

3. The Integrity Clause

Payment guarantees professional attention, production, and exposure. It does not purchase a positive review, a specific star rating, or favorable commentary of any kind.

All reviews are 100% honest and based strictly on the sensory experience at the time of the visit. If the experience is poor, the review will reflect that assessment. No refunds, chargebacks, or disputes will be entertained based on the content, tone, or rating of a published review.

4. Cancellation and Rescheduling

4.1 Client Cancellations

You may reschedule your appointment up to 48 hours in advance using the link provided in your confirmation email. Cancellations made less than 48 hours before the scheduled visit are non-refundable.

4.2 No-Shows

Failure to attend, failure to comp the meal as agreed, or venue closure upon arrival results in total forfeiture of the booking fee.

4.3 Tier 3 (Sensory Audit) Specific

For the Sensory Audit service ($650), the Business Owner or General Manager must be physically present at the venue. If the decision-maker is not on-site within 15 minutes of the scheduled start time, the session is classified as cancelled by the client and the fee is forfeited in full. No follow-up sessions or remote consultations will be provided.

5. The Ghost Protocol (Anonymity)

To ensure an authentic, unbiased experience, all visits are conducted under strict anonymity. The reviewer may arrive individually, as part of a group, or accompanied by a guest. The reviewer does not announce arrival.

If the reviewer determines that their identity has been compromised, or that the venue is providing fabricated VIP treatment inconsistent with the standard guest experience, the reviewer reserves the right to abort the visit immediately. In this event, the client will be offered a choice of a full refund or a rescheduled visit at a later date.

7. Photo and Content Ownership

7.1 Intellectual Property

All photographs, written reviews, and multimedia content produced during a visit are the exclusive intellectual property of Philly Eats & Lofts unless otherwise specified in a written agreement.

7.2 Algorithm Safety Warning

While image files may be provided upon request, the client is strongly advised against reposting them on social media, websites, or other platforms. Google Maps penalizes duplicate content. If the same image appears on the client's channels and on the reviewer's Google Maps profile, the algorithm may flag it as spam, reducing the client's visibility. For maximum SEO benefit, images should remain exclusively on the reviewer's profile.

7.3 No Guaranteed Placement

While the reviewer strives to produce content that adheres to all platform guidelines, no guarantee is made regarding the permanent visibility or featured placement of any photo or review on Google Maps or any third-party platform.

8. Platform Liability and Content Stability

Every review is drafted in strict adherence to Google Maps Content Policies. However, the reviewer has no control over Google's internal algorithms, moderation teams, or policy changes.

If a review or photo is filtered, suppressed, removed, or disputed by the platform or any third party at any point in the future, the reviewer is not liable. The booking fee covers the production of the review and photography, not its permanent hosting on a third-party platform. No reinstatement of removed content can be guaranteed.

9. Limitation of Liability

Philly Eats & Lofts shall not be held liable for any indirect, incidental, consequential, or punitive damages arising from the use of services, the content of reviews, or the actions of third-party platforms. Total liability shall not exceed the amount paid for the specific service in question.

10. Indemnification

By booking a service, the client agrees to indemnify and hold harmless Philly Eats & Lofts and David Nadiradze from any claims, damages, losses, or expenses arising from the client's misuse of provided content, violation of these Terms, or disputes with third parties related to the review.

11. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States. Any disputes shall be resolved in the courts located in Philadelphia County, Pennsylvania.

12. Modifications

Philly Eats & Lofts reserves the right to update these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of the website or services after changes constitutes acceptance of the revised Terms.
